END USER LICENSE AGREEMENT
This End User License Agreement ("Agreement") is a legal contract between you ("User" or "You") and Daycare Insider LLC ("Company", "We", "Us", or "Our") for the use of the [Your Web App Name] (the "Web App"), including all associated features, services, and content provided by the Web App. By accessing or using the Web App, you agree to be bound by the terms and conditions of this Agreement.
If you do not agree to these terms, you must not use the Web App.
1. License Grant
We grant you a non-exclusive, non-transferable, revocable license to use the Web App solely for the purpose of submitting, viewing, and interacting with daycare reviews ("Reviews"). This license is subject to your compliance with the terms of this Agreement.
2. User Responsibilities
You agree to the following:
- You will only submit Reviews related to daycare services that you have personal experience with.
- Your Reviews will be honest, respectful, and based on your genuine experience.
- You will not submit content that is false, misleading, defamatory, obscene, offensive, or otherwise violates the rights of others.
- You will not use the Web App for any unlawful or unauthorized purpose, including but not limited to submitting spam, engaging in fraud, or violating privacy rights.
- You will not attempt to gain unauthorized access to the Web App or interfere with its operation.
3. Ownership and Rights
- All content submitted by you to the Web App, including but not limited to Reviews, photos, or any other information ("User Content"), remains your property. However, by submitting User Content to the Web App, you grant us a worldwide, royalty-free, non-exclusive, transferable license to use, display, distribute, and reproduce your User Content on the Web App and in marketing materials associated with the Web App, as well as for any other purposes related to the Web App’s operation.
- The Web App and all of its contents, including its design, code, features, and any other content, are owned by Daycare Insider LLC and are protected by intellectual property laws.
4. Unauthorized Use of Review Data
- The review data you submit to the Web App is exclusively for use within the Web App platform. Any use of the review data outside of the Web App, including, but not limited to, publication, reproduction, or distribution on any third-party platform or medium, is strictly prohibited unless explicit written consent is obtained from Daycare Insider LLC.
- Written consent must be requested and granted prior to any use of the review data outside of the Web App for any purpose, including but not limited to media publications, reports, marketing materials, or any other external use.
5. Prohibited Content
You agree not to submit, upload, or share any content that:
- Violates any law or regulation.
- Infringes on any third-party intellectual property rights.
- Is defamatory, harassing, abusive, or otherwise harmful.
- Contains viruses, malware, or other malicious software.
- Is considered inappropriate or offensive, as determined solely by the Company.
6. Privacy and Data Collection
By using the Web App, you consent to the collection and use of your personal data in accordance with our Privacy Policy. You agree that we may use your data to operate, improve, and provide services related to the Web App. Please review our Privacy Policy for further details.
7. Disclaimer of Warranties
The Web App is provided "as is" and "as available." We do not warrant that the Web App will be uninterrupted, error-free, or free of viruses or other harmful components. We disclaim all warranties, whether express or implied, regarding the Web App, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Daycare Insider LLC and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with your use of the Web App, even if we have been advised of the possibility of such damages.
9. Termination
We may suspend or terminate your access to the Web App at any time, without notice, if we believe you have violated any terms of this Agreement or for any other reason. Upon termination, you must cease using the Web App and remove all User Content you have submitted.
10. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of North Carolina, without regard to its conflict of law principles. Any disputes arising from this Agreement shall be resolved through binding arbitration in North Carolina, and both parties agree to waive any right to participate in class actions.
11. Modifications to this Agreement
We reserve the right to modify or update this Agreement at any time, without prior notice. Any changes to the Agreement will be posted on the Web App, and your continued use of the Web App after such changes constitutes your acceptance of the modified terms.
